Terms of Service
These Terms of Service ("Terms") form a binding agreement between you and Northstar Digital Pty Ltd (ACN forthcoming), a company incorporated in New South Wales, Australia ("Northstar", "we", "us"), governing your use of the Winerack service at winerack.online (the "Service").
1. Acceptance
By creating an account or using the Service you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and of legal drinking age in your jurisdiction to use the Service.
3. Accounts
You are responsible for the security of your account credentials and for all activity under your account. Notify us promptly at hello@northstardigital.au of any unauthorized use.
4. Plans, billing and free tier
- The free tier currently allows up to 60 cellared bottles, one cellar, limited label scans, and a small monthly Sommelier quota. We may change these limits with notice.
- Paid plans renew automatically until cancelled. You can cancel at any time; access continues until the end of the paid period.
- Fees are quoted exclusive of GST where applicable and are non-refundable except where required by Australian Consumer Law.
5. Your content
You retain ownership of the data you upload (bottles, notes, photos). You grant Northstar a worldwide, royalty-free licence to host, process, and display your content solely to provide and improve the Service, and to produce aggregated anonymized community insights as described in the Privacy Policy.
6. Acceptable use
You must not: (a) reverse engineer the Service; (b) scrape or bulk-export other users' data; (c) upload unlawful, infringing, or harmful content; (d) use the Service to spam, defraud, or harass; (e) attempt to bypass plan limits, security controls, or rate limits.
7. AI features
Sommelier responses, label-scan extractions, and re-research are generated by AI systems and may be inaccurate. Verify before making purchase, drinking, or cellaring decisions. We disclaim liability for outcomes based on AI output to the maximum extent permitted by law.
8. Third-party services
The Service depends on third-party providers (Supabase, Cloudflare, Google, OpenAI, Perplexity, Resend, payment processors). We are not responsible for outages or behaviour of those providers.
9. Suspension and termination
We may suspend or terminate your account for breach of these Terms, fraud, or non-payment. You may close your account at any time; we will delete your data in line with the Privacy Policy.
10. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be lawfully excluded. Where permitted, our liability for breach of any non-excludable consumer guarantee is limited, at our option, to re-supplying the Service or refunding fees paid for the affected period.
11. Limitation of liability
To the maximum extent permitted by law, the Service is provided "as is" without warranty of any kind. Northstar's total aggregate liability for any claim arising out of or in connection with the Service is limited to the fees you paid us in the 12 months before the claim arose, or AUD $100, whichever is greater.
12. Indemnity
You agree to indemnify Northstar from third-party claims arising from your content or your breach of these Terms, to the extent permitted by law.
13. Changes
We may update these Terms from time to time. Material changes will be notified via email or in-product. Continued use after the effective date constitutes acceptance.
14. Governing law
These Terms are governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales and the federal courts of Australia sitting in Sydney.
